Brussels – The European Commission has approved, under the EU Merger Regulation, the acquisition of US-based Delphi’s Mechatronic Business by China North Industries Group Corporation (“Norinco”) of China. Delphi’s Mechatronic Business manufactures mechatronics (technology combining mechanics and electronics) modules and switches for the automotive industry with assets located in Spain, Poland, Mexico, China and Brazil. Norinco is a conglomerate specialising in defence products, with some business lines in other sectors such as petroleum, gas, engineering, automotive and photoelectric, and focusses on markets outside of Europe. The Commission concluded that the proposed transaction would raise no competition concerns because the companies are not active on the same or on related markets. The transaction was examined under the simplified merger review procedure.
